Terms of Service

1. Acceptance of Terms

By accessing or using Angosa ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all visitors, buyers, sellers, and users of the Platform.

2. Definitions

Buyer: A user who purchases products through the Platform.

Seller: A user who lists and sells products through the Platform.

Product: Any physical or digital goods listed for sale on the Platform.

Transaction: A completed purchase between a Buyer and Seller through the Platform.

3. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

4.2 Account Suspension

We reserve the right to suspend or terminate your account if we suspect fraudulent activity, Terms violations, or illegal conduct. You may not create multiple accounts or transfer your account to another party without our written consent.

5. For Buyers

5.1 Purchase Process

When you purchase a product, you are entering into a contract directly with the Seller. Angosa acts as a marketplace platform facilitating the transaction. You agree to:

Provide accurate shipping and billing information
Pay the total amount including product price, shipping, and applicable taxes
Review product descriptions, terms, and seller policies before purchasing
Communicate with sellers regarding orders, shipping, and issues

5.2 Payment Processing

All payments are processed through secure third-party payment processors. You authorize us to charge your payment method for all purchases. We do not store complete payment card information on our servers.

5.3 Returns and Refunds

Return and refund policies are set by individual Sellers. You should review the Seller's policies before making a purchase. Angosa may facilitate dispute resolution but is not responsible for returns or refunds unless otherwise stated. In cases of fraud or significantly misrepresented products, buyers may be eligible for Angosa's buyer protection program.

5.4 Prohibited Purchases

You may not purchase products for illegal purposes or in violation of any applicable laws. You may not attempt to circumvent the Platform's payment system or engage in fraudulent purchasing activity.

6. For Sellers

6.1 Seller Eligibility

To sell on Angosa, you must:

Be legally able to enter into binding contracts
Comply with all applicable laws and regulations
Provide accurate business and tax information
Have the legal right to sell the products you list

6.2 Product Listings

Sellers are responsible for the accuracy of their product listings. You must:

Provide truthful, accurate descriptions and images
List products in the appropriate categories
Clearly state all terms, conditions, and policies
Honor the prices and terms stated in your listings
Not list prohibited, illegal, or counterfeit items

6.3 Order Fulfillment

Sellers must fulfill orders promptly and professionally. You agree to:

Ship items within stated timeframes
Package items securely and appropriately
Provide tracking information when available
Communicate with buyers regarding order status
Honor your stated return and refund policies

6.4 Seller Fees

Angosa charges a transaction fee of 2.9% + $0.30 per successful sale. Fees are automatically deducted from your sales proceeds. There are no monthly subscription fees, listing fees, or setup charges. You are responsible for:

All applicable taxes on your sales
Payment processing fees
Shipping costs (unless charged to buyer)
Any chargebacks or disputed transaction fees

6.5 Payouts

Sales proceeds, minus applicable fees, will be transferred to your designated bank account or payment method according to our payout schedule. Payouts may be delayed or withheld if:

We suspect fraudulent activity
There are unresolved disputes or chargebacks
Your account information is incomplete or inaccurate
We are required to do so by law

7. Prohibited Items and Activities

7.1 Prohibited Items

The following items may not be listed or sold on the Platform:

Illegal drugs, drug paraphernalia, or controlled substances
Weapons, firearms, ammunition, or explosives
Counterfeit goods or items infringing intellectual property rights
Stolen property or items obtained through illegal means
Hazardous materials or substances
Adult content or services (subject to our policies)
Live animals (with limited exceptions)
Human body parts or remains
Items promoting hate, violence, or discrimination

7.2 Prohibited Activities

Users may not:

Engage in fraudulent, deceptive, or misleading practices
Manipulate prices, reviews, or ratings
Harass, threaten, or abuse other users
Use the Platform for money laundering or illicit transactions
Scrape, copy, or misuse Platform data
Interfere with or disrupt Platform operations
Circumvent security measures or access controls
Create fake accounts or impersonate others
Use automated tools to access the Platform without permission

8. Intellectual Property Rights

8.1 Platform Content

The Platform and its original content, features, functionality, trademarks, logos, and design are owned by Angosa, Inc. and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 User Content

You retain ownership of content you submit to the Platform (product listings, descriptions, images, reviews). By submitting content, you grant Angosa a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute your content in connection with operating the Platform.

8.3 Intellectual Property Infringement

We respect intellectual property rights. If you believe content on the Platform infringes your rights, please contact us at legal@angosa.com with:

Description of the copyrighted work or intellectual property
Location of the infringing material on the Platform
Your contact information
A statement of good faith belief that use is unauthorized
A statement under penalty of perjury that information is accurate

9. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Communication and Notifications

By creating an account, you consent to receive communications from us, including:

Transactional emails (order confirmations, shipping updates)
Service announcements and updates
Marketing communications (which you may opt out of)
Legal notices and policy updates

11. Dispute Resolution

11.1 User Disputes

Disputes between buyers and sellers should be resolved directly between the parties. Angosa may provide tools to facilitate resolution but is not obligated to become involved in disputes. We reserve the right to make final decisions in cases affecting Platform integrity or user safety.

11.2 Arbitration Agreement

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court if they qualify. You waive your right to a jury trial and to participate in class action lawsuits.

11.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12. Disclaimers and Limitation of Liability

12.1 Platform "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 No Guarantee

Angosa does not guarantee:

The accuracy, completeness, or quality of seller listings
Uninterrupted or error-free operation of the Platform
That defects will be corrected
That the Platform is free from viruses or harmful components

12.3 Limitation of Liability

To the maximum extent permitted by law, Angosa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or related to your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the fees you paid to Angosa in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Angosa, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any rights of another party
Your product listings or content

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting customer support. Upon termination, you remain responsible for any outstanding obligations, fees, or liabilities.

14.2 Termination by Angosa

We may suspend or terminate your account immediately, without prior notice, if:

You breach these Terms
We are required to do so by law
We suspect fraudulent, illegal, or harmful activity
Your account has been inactive for an extended period

14.3 Effect of Termination

Upon termination, your right to use the Platform immediately ceases. We may delete your account data, though some information may be retained as required by law or legitimate business purposes.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Angosa.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.
